NY Charities Bureau Launches Searchable Database of Non-Profit Dissolutions Approved by Attorney General
As you are aware, New York’s Nonprofit Revitalization Act of 2013 made changes to the procedures concerning transactions that previously required court approval. Now, petitions for approval of most transactions – disposition of assets (other than by religious corporations), mergers and dissolution of corporations that hold assets – may be approved by the Attorney General unless the petitioner opts to seek court approval or the Attorney General determines that court approval is warranted.
In order to provide easy access to the Attorney General’s approvals of disposition of assets pursuant to Not-for-Profit Corporation Law sections 510/511/511-a and approvals of plans of dissolution (step one of the dissolution of a corporation that has assets) pursuant to Article 10 of the Not-for-Profit Corporation Law, a searchable directory of those approvals was added to the Charities Bureau’s website. That directory – posted at http://www.charitiesnys.com/Transactions/jsp/home.jsp - provides various search options, including by the name of the petitioning corporation and the type of transaction, and includes PDFs of the approvals.
Approvals made by court order are available from the court and approved certificates are available from the Secretary of State’s office and are not posted on our website.
